📄 Terms & Conditions

1. SCOPE OF SERVICES

BreakPoint Energy agrees to provide consulting services as described in the proposal above. Services shall be performed with reasonable skill and care consistent with professional standards in New Zealand.

2. FEES AND PAYMENT

Payment Schedule:

  • 50% deposit payable on acceptance
  • 25% payable upon Phase 3 completion
  • 25% payable on final delivery

Payment Terms: Net 15 business days from invoice date. Late payments incur 2% monthly interest.

3. INTELLECTUAL PROPERTY

Upon full payment, all bespoke deliverables created specifically for the Client become the Client's property. BreakPoint Energy retains ownership of methodologies, frameworks, templates, and tools, granting the Client a non-exclusive license for internal use.

4. CONFIDENTIALITY

Both parties agree to keep confidential all proprietary information received from the other party. This obligation survives termination for five (5) years.

5. LIABILITY

Limitation: BreakPoint Energy's total liability shall not exceed the total fees paid under this engagement. We shall not be liable for indirect, consequential, or special damages.

Insurance: We maintain professional indemnity insurance with coverage of NZD $2,000,000.

6. TERMINATION

For Convenience: Either party may terminate with 30 business days' notice. Client pays 100% of completed work plus 50% of work scheduled in following 30 days.

For Cause: Either party may terminate immediately for material breach not remedied within 14 business days.

7. DATA PROTECTION

Both parties comply with the Privacy Act 2020 (New Zealand). Personal information is processed only as necessary for service delivery.

8. DISPUTE RESOLUTION

Disputes shall first be addressed through good faith negotiation, then mediation via the Resolution Institute (New Zealand), and finally arbitration or New Zealand courts if necessary.

9. INDEPENDENT CONTRACTOR

BreakPoint Energy is an independent contractor. This agreement does not create a partnership, joint venture, or employment relationship.

10. GOVERNING LAW

This agreement is governed by the laws of New Zealand. Both parties submit to the exclusive jurisdiction of New Zealand courts.
