1. PROJECT SCOPE

BreakPoint Energy will provide consulting services to optimize Top Energy's connection quotation workflow, addressing manual data transfer inefficiencies across Salesforce, SAP, Excel, and Word systems.

Selected Investment Package: Option C: Full Roadmap

Phases Included: Phases 1-5 (14 consulting days)

  • Phase 1: Current State Mapping & Pain Point Quantification (3 days)
  • Phase 2: Integration Architecture & Solution Options Analysis (4 days)
  • Phase 3: Quick Wins Implementation (2 days)
  • Phase 4: Medium-Term Integration Specification (3 days)
  • Phase 5: Multi-EDB Software Solution Analysis (2 days)
2. INVESTMENT & PAYMENT TERMS

Daily Rate: $3,250 NZD per consulting day
Payment Terms: Net 15 business days from invoice date
Late Payment: 2% monthly interest applies to overdue amounts

3. DELIVERABLES

Upon completion of all phases, Top Energy will receive the complete suite of deliverables:

Discovery & Analysis (Phases 1-2):

  • End-to-end process map with requoting loops identified
  • Data flow diagram across all systems
  • Time-motion analysis per quote iteration
  • Error risk assessment at each transfer point
  • Three ranked integration pathways with effort vs ROI analysis
  • Technical feasibility assessment for each pathway
  • EA reporting integration mapping
  • Risk analysis with cost-benefit models

Quick Wins Implementation (Phase 3):

  • Enhanced Excel template v2.0 with automation
  • Automated Word template with mail merge
  • Power BI export workflow documentation
  • Estimator training materials

Integration Roadmap (Phase 4):

  • Salesforce-SAP integration specification
  • SAP-Excel automation architecture
  • EA reporting automation design
  • Implementation roadmap with cost estimates

Strategic Software Analysis (Phase 5):

  • Software product specification for NZ EDB market
  • Build vs Buy vs License analysis (3-year TCO)
  • Top Energy as foundation customer positioning
  • Revenue model & commercialization strategy

Maximum ROI: 2,800 engineering hours/year freed, $224,000/year cost savings, 6-9 month payback period

4. INTELLECTUAL PROPERTY

Upon full payment, all bespoke deliverables created specifically for Top Energy become Top Energy's property. BreakPoint Energy retains ownership of methodologies, frameworks, and tools, granting Top Energy a non-exclusive license for internal use.

Phase 5 deliverables relating to multi-EDB software solutions remain BreakPoint Energy property, with Top Energy granted a perpetual, non-exclusive license for internal use of any specifications, architectures, or analysis specific to Top Energy's needs.

5. TERM & TERMINATION

Project Duration: Estimated completion within 6-8 weeks from commencement

Termination for Convenience: Either party may terminate with 30 business days' notice. Client pays 100% of completed work plus 50% of work scheduled in following 30 days.

Termination for Cause: Either party may terminate immediately for material breach not remedied within 14 business days.

  • Confidentiality obligations (5-year survival)
  • Liability limitation (capped at fees paid)
  • Professional indemnity insurance ($2M coverage)
  • Privacy Act 2020 compliance
  • Dispute resolution (negotiation → mediation → arbitration)
  • New Zealand law governs this agreement
